Nell Minow, chair of ValueEdge Advisors, said SpaceX has turned into a meme stock due to a total lack of corporate governance fundamentals.

These criticisms come as the company faces intense scrutiny over its internal management and potential transition to public markets. If the company lacks basic oversight structures, it could pose significant risks to future institutional and retail investors.

Speaking on CNBC’s program “Squawk Box” this Wednesday, Minow said that Elon Musk and his associates treat the company like a personal piggy bank [1]. She said that the company operates without the standard checks and balances typically found in large-scale corporate entities.

"None of the fundamentals of corporate governance are there at SpaceX," Minow said [1].

Minow's assessment highlights a growing tension between the company's technical achievements and its administrative transparency. She said that Musk and his "cronies" treat the organization as a private financial tool rather than a governed corporation [1].

This lack of structure is particularly stark when compared to the massive financial scale of the company. Some estimates suggest SpaceX could raise $75 billion [2] in an initial public offering. Such a move would imply a company valuation of $2 trillion [2].

"They treat SpaceX like it's their personal piggy bank," Minow said [1].

Minow said that the combination of high valuation and low governance makes the company an unprecedented risk for those looking to invest in its future growth. The absence of a traditional board structure or independent oversight may contribute to the "meme stock" status she described during the interview [1].

"None of the fundamentals of corporate governance are there at SpaceX."

The transition of a private company to a public entity requires a shift from founder-led autonomy to fiduciary accountability. If SpaceX enters the public market with the governance deficits described by Minow, it may experience extreme volatility and regulatory challenges, as investors struggle to value the company independently of Elon Musk's personal influence.
